Terms of Use

Article 1. Purpose

These Terms of Use (“Terms") govern the conditions of use, operation, and other matters relating to the services provided through [Hanbridge Parnters] (the "Website").

Article 2. Definitions

For the purposes of these Terms, the following definitions apply:
Member means an individual who has agreed to these Terms, provided the required personal information, completed the registration process, entered into a service agreement with the Website, and uses the Website's services.
Service Agreement means the agreement entered into between the Website and a Member regarding the use of the Website's services.
Member ID ("ID") means the unique combination of letters and numbers assigned to a Member for identification and access to the Website's services.
Password means the combination of letters, numbers, or other characters selected by a Member to verify ownership of the Member ID and protect the security of the Member's account.
Operator means the entity or individual responsible for establishing and operating the Website and its services.
Termination means the cancellation or termination of the Service Agreement by a Member.

Article 3. Supplemental Policies

The Operator may establish and publish additional policies or guidelines as necessary. In the event of any inconsistency between these Terms and such policies, the additional policies shall prevail.

Article 4. Formation of the Service Agreement

A Service Agreement is formed when an individual applying to use the Website agrees to these Terms, submits a membership application, and the Operator accepts the application. By selecting "I Agree" during the registration process, the applicant acknowledges that they have read and agreed to these Terms.

Article 5. Registration

Users applying for membership must provide the information requested by the Website, including but not limited to their Member ID, password, nickname, and other required information. Any user who provides false information, impersonates another person, or otherwise fails to provide accurate and truthful information may be denied access to the Website, shall have no rights arising from the use of the Website, and may be subject to applicable laws and regulations.

Article 6. Cancellation and Refund Policy

A full refund is available upon the Client's request prior to the commencement of the requested service. Service cancellations may be accepted on a case-by-case basis following consultation with the assigned representative. However, cancellations will not be accepted once documents have been submitted to any foreign government or tax authority, or after professional advisory or consulting services have commenced. If the requested service is not performed as agreed, a refund may be issued following an individual review and consultation with the assigned representative.

Article 7. Privacy Policy

The Website and the Operator do not retain Members' passwords. The collection, use, and protection of personal information are governed by the Website's Privacy Policy.
The Operator will make reasonable efforts to protect Members' personal information, including registration information, in accordance with applicable laws and regulations.
The collection, use, storage, and protection of Members' personal information shall be governed by the Website's Privacy Policy and applicable laws.
The Operator shall not be liable for any disclosure of personal information resulting from the Member's own negligence or fault.
If a Member posts or distributes unlawful content, including content that violates public order, morality, or national security, the Operator may review such content and disclose it to the relevant authorities upon a lawful request.

Article 8. Responsibilities of the Operator

The Operator shall make reasonable efforts to promptly address legitimate comments or complaints submitted by Members. If immediate action is not possible due to unavoidable circumstances, the Operator will provide notice through the Website, email, or other appropriate means.
The Operator shall make reasonable efforts to ensure the continuous and stable operation of the Website. In the event of system failure, equipment damage, or data loss, the Operator will endeavor to repair or restore the affected systems without undue delay. However, the Website may be temporarily suspended due to force majeure or other circumstances beyond the reasonable control of the Website or the Operator.

Article 9. Responsibilities of Members

Members shall comply with these Terms, all rules, notices, operating policies, and other guidelines published by the Website, as well as all applicable laws and regulations. Members shall not interfere with the operation of the Website or engage in any conduct that may damage its reputation.
Without the Website’s prior written consent, Members may not assign, transfer, gift, pledge, or otherwise dispose of their rights to use the services or their status under the Service Agreement.
Members are responsible for maintaining the confidentiality and security of their Member ID and password and may not allow any third party to use their account without the prior consent of the Website or the Operator.
Members shall not infringe the intellectual property rights of the Operator, the Website, or any third party.

Article 10. Service Availability

Unless otherwise restricted for operational or technical reasons, the services are generally available 24 hours a day, seven days a week. The Website may temporarily suspend services for scheduled maintenance, system upgrades, expansion, or equipment replacement. Where reasonably practicable, advance notice of scheduled interruptions will be posted on the Website.
The Website may temporarily or permanently suspend all or part of the services without prior notice in any of the following circumstances:
Emergency system maintenance, expansion, replacement, failure, or malfunction;
A national emergency, power outage, natural disaster, or other force majeure event;
Suspension of telecommunications services by a telecommunications carrier;
Excessive traffic or other circumstances that materially disrupt the normal operation of the services.
Where reasonably practicable, the Website will notify Members in advance of a service interruption through a notice or other appropriate means. If advance notice is not possible due to circumstances beyond the Website’s reasonable control, notice may be provided after the interruption.

Article 11. Termination of Membership

A Member wishing to terminate the Service Agreement must submit a membership cancellation request through the Website. Cancellation of access to the Website and termination of any separate service agreement must be completed independently, where applicable.
Upon submission of a membership cancellation request, the Member’s account and related account information will be removed from the membership management system, and the Operator will no longer be able to access such information, except where retention is required by applicable law or the Website’s Privacy Policy.

Article 12. Restrictions on Use

Members shall not engage in any of the following activities. If a Member violates this Article, the Website may restrict the Member’s access to the services, take any lawful action deemed appropriate, terminate the Service Agreement, or suspend the Member’s access for a specified period:
Providing false information during registration or when updating account information;
Interfering with another person’s use of the Website or unlawfully obtaining or using another person’s information;
Impersonating the Operator, an employee, representative, or other person affiliated with the Website;
Infringing the personal rights or intellectual property rights of the Website or any third party, or interfering with their business operations;
Using another Member’s ID without authorization;
Collecting, storing, or disclosing another Member’s personal information without consent;
Engaging in conduct that may reasonably be considered criminal or connected with criminal activity; or
Engaging in any other conduct that violates applicable laws or regulations.

Article 13. Management of User Content

The Operator is responsible for administering content and materials posted on the Website and may monitor the Website for inappropriate or unlawful content. If such content is identified or reported, the Operator may remove it and issue a warning to the Member who posted it.
Members remain solely responsible for the content they submit and shall not post any material that violates these Terms.
The Operator may remove or relocate content without the Member’s prior consent if required to do so by a governmental authority, regulatory body, court, or other competent public institution.
Content may be considered inappropriate or prohibited if it:
Seriously insults, defames, or damages the reputation of another Member or third party;
Distributes or links to material that violates public order or generally accepted standards of conduct;
Encourages unlawful copying, hacking, or other illegal activity;
Constitutes unauthorized commercial advertising or solicitation;
Is reasonably considered to be connected with criminal activity;
Infringes copyright or any other rights of another user or third party; or
Otherwise violates applicable laws or regulations.
If the Website or the Operator receives a request from a third party to suspend access to content on the grounds of defamation, intellectual property infringement, or another alleged violation of rights, the Website may temporarily remove, restrict, or disable access to such content.
The Website may take further action in accordance with any settlement, court order, administrative decision, or other binding resolution received in connection with the dispute between the requesting party and the Member who posted the content.

Article 14. Retention and Transfer of User Content

If the Operator is required to discontinue the Website due to unavoidable circumstances, the Operator will make reasonable efforts to provide Members with advance notice and facilitate the transfer or retrieval of their content where reasonably practicable.

Article 15. Intellectual Property Rights in User Content

Copyright in content posted by a Member remains with the Member who created or posted it.
The Website shall not use such content for commercial purposes without the Member’s consent. However, the Website may display and use the content within the services and may use it for non-commercial purposes to the extent permitted by applicable law.
Members may not commercially use, reproduce, modify, distribute, sell, or otherwise exploit information or materials obtained through the services without authorization.
If the Operator reasonably determines that content posted or submitted by a Member falls within any of the prohibited activities described in Article 12, the Operator may reject, remove, or relocate the content without prior notice.

Article 16. Liability for Damages

Each Member shall be primarily responsible for any civil or criminal liability arising from the Member’s conduct in connection with the Website.
To the extent permitted by applicable law, the Website and the Operator shall not be liable for damages caused by force majeure, including natural disasters, or by the Member’s intentional misconduct or negligence.

Article 17. Disclaimers and Limitation of Liability

The Operator does not guarantee that Members will obtain any particular benefit, result, or outcome from the services and shall not be liable for any loss arising from a Member’s selection or use of information or materials provided through the Website.
The Operator shall not be liable for any service interruption or failure caused by the Website’s technical infrastructure or by telecommunications services provided by a third-party carrier, except to the extent otherwise required by applicable law.
The Operator shall not be responsible for content or materials stored, posted, or transmitted by Members.
The Operator shall not be liable for any disruption to the services caused by a Member’s act, omission, negligence, or failure to comply with these Terms.
The Operator shall not be responsible for interactions, transactions, communications, data transfers, community activities, or disputes between Members or between a Member and any third party, whether occurring through or outside the services.
The Operator does not warrant the truthfulness, reliability, completeness, or accuracy of content posted or transmitted by Members or of any other materials made available through the Website.
The Operator shall not be liable for any loss or damage arising from transactions involving goods or services conducted between Members or between a Member and a third party through the Website.
The Operator shall not be liable for disputes between Members or between a Member and any third party unless such dispute results directly from the Operator’s willful misconduct or gross negligence.
To the fullest extent permitted by applicable law, the Operator shall not be liable for losses arising from:
System failures occurring during the management, inspection, maintenance, repair, or replacement of servers or other equipment;
Software errors or operational failures not caused by the Operator’s willful misconduct or gross negligence;
Cyberattacks or unauthorized access by third parties;
Computer viruses, malware, or other security threats for which no commercially reasonable preventive or remedial measure was available at the relevant time; or
Any other event beyond the Operator’s reasonable control.
